Fowler/Ross Join MicroStrategy Board

MicroStrategy Incorporated, a leading worldwide provider of business intelligence software, announced that F. David Fowler and Stuart B. Ross have joined its board of directors.

F. David Fowler comes to MicroStrategy with nearly forty years of accounting, audit and management experience. Mr. Fowler was a member of the accounting firm of KPMG LLP for nearly thirty years, from 1963 until his retirement in 1992. During his nearly three decades at KPMG, Mr. Fowler served in a number of senior auditing posts, including managing partner of KPMG's Washington, DC office from 1987 until 1992. In addition to heading its Washington office, Mr. Fowler served in a number of senior governing posts for KPMG, including on its board of directors, operating committee, and strategic planning committee. In addition, Mr. Fowler was also chairman of the KPMG Foundation, chairman of KPMG's personnel committee, and partner in charge of human resources for KPMG.

After his retirement from KPMG, Mr. Fowler became dean of the George Washington University School of Business and Public Management. Mr. Fowler served a five year term in this chief academic post from July 1992 until his retirement in June 1997. During his tenure at George Washington University, Mr. Fowler was generally credited with helping to raise the caliber of the incoming students as well as to enhance the University's academic programs and standing.

Since his retirement as dean, Mr. Fowler has served on several boards of directors, including chairing the audit committee of a publicly traded software company, two mutual funds and several non-profit organizations. Mr. Fowler has also maintained an active involvement in a number of civic groups, including serving as chairman of the board of the Greater Washington Research Center; recent member of the board of directors of Washington Educational Television Association, where he served as chairman of the audit committee and member of the executive committee; recent member of the board of directors of the National Symphony Orchestra, and immediate past chairman of the YMCA of Metropolitan Washington. "I am truly excited to join the team at MicroStrategy and work closely with its executives and current board of directors. It is an impressive company with exciting technology and a great future. I expect to play an active role on the board and its audit committee to help the company achieve its goals of profitability, fiscal discipline and market leadership," said Mr. Fowler.

Stuart B. Ross joins MicroStrategy after a long career as one of the most senior executives of the Xerox Corporation. Specifically, Mr. Ross was with Xerox from 1966 until his retirement in December of 1999 during which time he held a number of the company's most senior operational and financial positions. From 1991 until his retirement in 1999, Mr. Ross served as corporate executive vice president and chairman & CEO of Xerox Financial Services. In this role Mr. Ross reported to the CEO of Xerox and had direct responsibility for all of Xerox's Financial Services businesses that included eleven distinct companies, several thousand employees and assets or assets under management of approximately $25 billion. Mr. Ross's final assignment with Xerox was the successful disposition of these companies and their assets, which Mr. Ross accomplished prior to his retirement in December of 1999.

Before taking the top job at Xerox Financial Services, Mr. Ross served in several of the key financial positions for Xerox. These included senior vice president of finance and chief financial officer of Xerox from 1985 to 1990, and vice president and corporate controller of Xerox from 1979 to 1987. Prior to becoming controller in 1979, Mr. Ross held a series of other financial management positions at Xerox. Mr. Ross's tenure in these corporate financial positions preceded by eight years the period covered by Xerox's recently restated financial results for 1998-2000. Before joining Xerox in 1966, Mr. Ross was a financial analyst for the Macmillan publishing company and a certified public accountant for Harris, Kerr, Forster & Company.

Currently, Mr. Ross serves as a trustee for the Hansberger Institutional Series, a mutual investment fund; an advisor to both public companies and private entities, including an insurance holding company, a brokerage firm, and not-for-profit agency; a member of the board of directors of The World Affairs Forum; and a member of the International Executive Service Corp (IESC) Advisory Council.
